These Terms of Service (“Terms”) govern your use of joannyconsulting.com (the “Site”), operated by Joanny Consulting LLC, a California limited liability company. By using the Site you agree to these Terms. If you do not agree, please do not use the Site.
1. About us
Joanny Consulting LLC provides technology and management consulting services, including business digitization, custom application development, technology strategy, and product advisory services.
2. Use of the Site
The Site is provided for general information about our services. You agree not to use the Site unlawfully, to attempt to gain unauthorized access to it, to interfere with its operation, or to submit false or misleading information through its forms.
3. Information is not advice
Content on the Site is general information only. It is not legal, financial, tax, or professional advice, and it does not create a consulting relationship. A consulting relationship arises only under a signed written engagement agreement.
4. Engagements
Consulting services are provided solely under a separate written engagement agreement or statement of work between Joanny Consulting LLC and the client. That agreement governs scope, deliverables, fees, payment terms, confidentiality, ownership of work product, warranties, and termination, and it controls in the event of any conflict with these Terms.
5. Communications and text messaging
By contacting us you consent to receive email replies at the address you provide. Text messages are sent only to individuals who have expressly opted in. Consent to receive text messages is optional and is never a condition of purchasing any service. Our Messaging Terms and Privacy Policy govern those communications.
6. Intellectual property
The Site, its text, design, and graphics are owned by Joanny Consulting LLC and protected by applicable intellectual property law. Ownership of deliverables created for a client is determined by that client's engagement agreement, not by these Terms.
7. Third‑party services and links
The Site may reference or link to third‑party services. We do not control and are not responsible for the content, policies, or practices of any third party.
8. Disclaimer of warranties
The Site is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non‑infringement. We do not warrant that the Site will be uninterrupted or error‑free.
9. Limitation of liability
To the maximum extent permitted by law, Joanny Consulting LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of your use of the Site. Nothing in these Terms limits liability that cannot be limited under applicable law.
10. Indemnification
You agree to indemnify and hold harmless Joanny Consulting LLC from claims arising out of your misuse of the Site or violation of these Terms.
11. Changes
We may revise these Terms at any time. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the State of California, without regard to its conflict of law rules. The state and federal courts located in Sacramento County, California will have exclusive jurisdiction over any dispute arising from these Terms.
